外籍法定代表人下载电子营业执照指南

Tutorial for downloading electronic license by non-PRC resident legal representatives

     1. 根据《电子营业执照管理办法（试行）》，市场主体设立登记后首次领取和下载电子营业执照，以及办理变更登记后重新领取和下载电子营业执照，应由经本市登记机关登记的公司（或企业）法定代表人、合伙企业执行事务合伙人（委派代表）、个人独资企业投资人、个体工商户经营者、农民专业合作社法定代表人、各类企业分支机构负责人（以下统称法定代表人）领取和下载。

     1. According to the Regulation of Electronic License Administration (trial version), a market entity that apply and download electronic license (herein after referred to as E-license) for the first time after incorporation registration, apply and download again after modification registration, according to the type of the market entity, the E-license shall be applied and downloaded respectively by the legal representative of the company, the executive partner (or its representative) of the partnership, the investor of the individual proprietorship enterprise, the proprietor of the privately-owned business, the legal representative of the specialized farmers cooperative, the person in charge of the branch of correspondent enterprises (herein after referred to as the legal representative), as registered by the local administration of market regulation.

     2.法定代表人为外籍人士、台港澳同胞的，可以选择以下方式下载电子营业执照：

      （1）法定代表人签署《电子营业执照下载确认书》，本人持有效身份证件到登记机关现场核实身份，当场扫码下载电子营业执照。

      （2）法定代表人签署《电子营业执照下载确认书》并委托他人到登记机关现场提交，由登记机关将电子营业执照下载二维码发送到法定代表人指定的本人电子邮箱，由法定代表人通过电子邮件远程扫码下载电子营业执照。

      （3）具体邮件远程扫码下载方法，详见《邮箱远程下载电子营业执照操作指南》。

    2. For legal representatives of foreign nationalities, from Hong Kong/Macao/Taiwan, the E-licenses may not be applied and downloaded through facial recognition on smartphones as PRC residents, the following approaches are provided for applying and downloading:

      (1) The legal representative signs the Letter of Confirmation for downloading E-license, and completes authentication by visiting the registration authority, carrying the valid ID. Then the legal representative can scan the QR code to download the E-license on-site.

      (2) The legal representative signs the Letter of Confirmation for downloading E-license, and authorizes others to submit this document to the registration authority. The registration authority sends the QR code for downloading E-license in the form of an E-mail to the designated E-mail address of the legal representative, then the legal representative can scan the code to download the E-license.

      (3) The detailed instruction for scanning and downloading can be referred to in the Tutorial of Scanning and Downloading Electronic License.

     3. 市场主体在设立或变更法定代表人时，若新任法定代表人为外籍人士、台港澳同胞的，《电子营业执照下载确认书》可以和其他登记材料一并提交，无需另行申请，设立或变更登记核准后，法定代表人可以按所选方式下载电子营业执照。

     通过“登记在线”申请设立的外商投资企业及其分支机构，如选用系统自动生成的《公司登记（备案）申请书》提交设立申请的，无需额外签署《电子营业执照下载确认书》。

     3. For a market entity applying for incorporation, or modification of the legal representative, if the new legal representative is of foreign nationality, from Hong Kong/Macao/Taiwan, the Letter of Confirmation for downloading E-license can be submitted together with other application documents, there’s no need to apply separately. After the application of incorporation or modification is approved, the legal representative can download the E-license following the above-mentioned instructions.

     For foreign-invested enterprises and their branches applying for incorporation via the Integrated Registration Service system（http://yct.sh.gov.cn）, if applicants choose to submit the printed application form generated automatically by the system, there’s no need to sign the Letter of Confirmation.
